The parties hereby consent and agree that any litigation, claims, controversies, and/or disputes that arise out of, or relate to, this Agreement (or any other agreement referenced herein), as well as the parties’ dealings with each other, shall be brought exclusively in a state or federal court in State of Maine. The parties hereby consent and agree to submit to the exclusive personal jurisdiction of such courts located in State of Maine, and voluntarily waive any claim of lack of jurisdiction or inconvenient forum for such courts for purposes of such actions or proceedings.
